SEC Proposes to Modernize Securities Rules for Crypto Assets

The SEC has proposed Regulation Crypto Assets, a new crypto-specific regulatory framework designed to streamline capital-raising opportunities for certain crypto projects in the United States while maintaining investor protections. By providing greater clarity around when crypto assets are subject to federal securities laws, the proposal aims to reduce regulatory uncertainty, support crypto innovation, and encourage digital asset development to remain onshore rather than continue moving offshore.

7 Key Points from Proposal

  1. New crypto specific framework: Creates a securities offering regime for certain investment contracts involving crypto assets.
  2. Small offering exemption: Allows eligible crypto projects to raise up to $5 million over a 4-year period without full Securities Act registration, subject to disclosure requirements.
  3. Larger offering exemption: Allows eligible crypto projects to raise up to $75 million in a 12-month period, subject to enhanced disclosures, financial statements, and ongoing reporting obligations.
  4. Disclosure & financial reporting requirements: Issuers must provide disclosures about the crypto project, management team, use of proceeds, conflicts of interest, and key risks. Issuers using the $75 million exemption would also be required to provide financial statements and ongoing periodic reporting to keep investors informed.
  5. Investor protection focus: Seeks to preserve core investor protections through disclosures, reporting, and eligibility conditions.
  6. A path for tokens to no longer be considered a security: Once a crypto project is fully developed and investors are no longer relying on the developers’ ongoing efforts, the token may no longer be treated as a security under SEC rules.
  7. Federal preemption & policy objective: Certain offerings and secondary market transactions conducted under the new framework would be exempt from state registration and qualification requirements, reducing regulatory complexity and supporting capital formation in the U.S.

What This Means for the Digital Asset Industry

The proposal would create a clearer path for crypto companies to raise capital, establish a mechanism for certain tokens to eventually cease being treated as securities, and reduce regulatory complexity through a dedicated federal framework. The proposal remains in the rulemaking stage and will be subject to a 60-day public comment period following its publication in the Federal Register, which is expected in the coming days.
